Terms of Service
These Terms of Service ("Terms") govern your access to and use of the website at empowerit.ca (the "Site") and any free services offered through the Site, including the IT Gap Analysis booking, newsletter subscription, and content downloads ("Free Services"). EmpowerIT ("EmpowerIT", "we", "us", "our") is incorporated in Ontario, Canada.
Paid managed IT, cybersecurity, AI, and consulting services are governed by a separate written engagement agreement between EmpowerIT and the client. To the extent of any conflict between these Terms and that agreement, the engagement agreement prevails.
By accessing or using the Site or Free Services, you agree to these Terms. If you do not agree, do not use the Site or Free Services.
1. Eligibility
You must be at least the age of majority in your jurisdiction (eighteen years of age in Ontario) and have the legal capacity to enter into a binding agreement to use the Site or Free Services. By using the Site, you represent that you meet these requirements. If you are using the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. The Site and Free Services
EmpowerIT operates the Site to provide information about our services, to schedule consultations, and to make resources available to prospective and current clients. Free Services currently include:
- The IT Gap Analysis offer: a free 12-page written assessment delivered after a 30-minute kickoff consultation;
- Booking and scheduling tools (powered by Microsoft 365 Bookings);
- Newsletter subscription and downloadable resources.
We may add, modify, suspend, or discontinue any part of the Site or Free Services at any time, with or without notice.
3. Booking a consultation
When you book a consultation through the Site, you agree to provide accurate and complete information. We reserve the right to confirm, reschedule, or decline a booking — for example, if your inquiry is outside the scope of our services, if we determine there is a conflict of interest, or if the booking appears to be from a vendor or solicitation rather than a prospective client.
Free consultations are intended for qualified prospective clients evaluating EmpowerIT's services. They are not a forum for vendors, partnerships, recruiting, fundraising, or other unrelated inquiries. Please direct those inquiries to hello@empowerit.ca.
4. Acceptable use
You agree not to:
- Use the Site or Free Services for any unlawful purpose or in violation of any applicable law or regulation;
- Misrepresent your identity, affiliation, or intentions;
- Submit false, misleading, defamatory, infringing, harassing, or otherwise objectionable content;
- Attempt to gain unauthorized access to the Site, any related systems or networks, or any third-party accounts;
- Probe, scan, or test the vulnerability of the Site or its underlying systems without our prior written consent;
- Use automated means (including bots, scrapers, or crawlers) to access the Site in a manner that exceeds normal browsing or that imposes an unreasonable load;
- Reverse engineer, decompile, or disassemble any portion of the Site or Free Services except to the extent expressly permitted by applicable law;
- Interfere with or disrupt the integrity or performance of the Site or Free Services;
- Resell, redistribute, or commercially exploit any part of the Site, Free Services, or content other than as expressly permitted by these Terms.
5. Intellectual property
The Site and its content — including text, graphics, logos, images, software, frameworks (such as Evidence by Design and Foundation, then AI), and the look and feel — are owned by EmpowerIT or its licensors and are protected by copyright, trademark, and other intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable licence to access the Site and use the Free Services for your internal evaluation of EmpowerIT and our services. No other rights are granted by implication, estoppel, or otherwise.
You may not use any EmpowerIT trademark, logo, or trade name without our prior written consent.
6. Your content
You retain ownership of any information, documentation, or other content you submit to us through the Site or Free Services ("Your Content"). You grant EmpowerIT a non-exclusive, royalty-free licence to use Your Content as necessary to deliver the Free Services you request, including producing your IT Gap Analysis report, and to operate, secure, and improve the Site.
You represent that you have all rights necessary to grant the licence above and that Your Content does not violate any third-party rights or applicable law.
7. Confidentiality
Information you share with EmpowerIT during a consultation, Gap Analysis, or engagement may be considered confidential. We treat client information with care, limit access on a need-to-know basis, and do not disclose it except as required to deliver services, with your consent, or as required by law. The mutual obligations of confidentiality applicable to a paid engagement are set out in the engagement agreement.
8. Third-party links and services
The Site may contain links to third-party websites or integrations with third-party services (for example, Microsoft 365 Bookings, Cloudflare, Substack, YouTube, LinkedIn). EmpowerIT is not responsible for the content, privacy practices, or availability of those third parties. Your use of any third-party service is governed by that third party's terms and privacy policy.
9. Disclaimers
The Site and Free Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by law, EmpowerIT disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, and uninterrupted availability.
Information on the Site, including blog posts, case files, and the IT Gap Analysis output, is provided for general informational purposes. It does not constitute professional advice and does not create a professional services relationship between you and EmpowerIT. You should obtain professional advice tailored to your circumstances before making decisions based on Site content.
10. Limitation of liability
To the maximum extent permitted by law, EmpowerIT, our directors, officers, employees, agents, and licensors will not be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, business, or goodwill, arising out of or in connection with your use of the Site or Free Services, whether based in contract, tort (including negligence), statute, or otherwise, even if we have been advised of the possibility of such damages.
To the extent permitted by law, EmpowerIT's total aggregate liability arising out of or relating to the Site or Free Services will not exceed one hundred Canadian dollars (CAD $100). This limitation does not apply to liability that cannot be excluded or limited under applicable law.
11. Indemnification
You agree to defend, indemnify, and hold EmpowerIT harmless from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your violation of these Terms; (b) Your Content; (c) your use of the Site or Free Services; or (d) your violation of any law or the rights of any third party.
12. Termination
We may suspend or terminate your access to the Site or Free Services at any time, for any reason, without notice. You may stop using the Site and Free Services at any time. Sections 4 through 14 of these Terms survive termination.
13. Governing law and dispute resolution
These Terms and any dispute arising out of or related to them or to your use of the Site or Free Services are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law principles.
You and EmpowerIT submit to the exclusive jurisdiction of the courts of Ontario sitting in the Region of Waterloo for the resolution of any dispute, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
14. Changes to these Terms
We may modify these Terms at any time. When we make a material change, we will update the "Last updated" date above and, where appropriate, provide a more prominent notice. Your continued use of the Site or Free Services after a change takes effect constitutes acceptance of the modified Terms. If you do not agree to a change, stop using the Site and Free Services.
15. General
- Entire agreement. These Terms (together with the Privacy Policy and any applicable engagement agreement) constitute the entire agreement between you and EmpowerIT regarding the Site and Free Services and supersede any prior or contemporaneous communications on the subject.
- Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.
- No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
- Assignment. You may not assign or transfer these Terms without our prior written consent. EmpowerIT may assign these Terms in connection with a merger, acquisition, financing, or sale of assets.
- Language. The parties have requested that these Terms and all related documents be drafted in English. Les parties ont demandé que ces Conditions et tous les documents connexes soient rédigés en anglais.
